Independent sponsor deal sourcing

By Jason, founder of JW AI Works

Independent sponsors raise capital deal by deal. Without a committed fund, the deal you bring is what gets capital partners to the table. This page covers how direct owner outreach fits into independent sponsor deal sourcing.

How many independent sponsors are there?

Estimates vary. McGuireWoods' Jon Finger has put the number of US independent sponsor shops at about 1,400 (Private Equity International). H.I.G. describes "over 1,500 active" (H.I.G.), and a Headway survey estimates 2,500–3,000, a figure it notes is higher than others (Headway).

Why direct outreach matters for independent sponsors

A deal that comes through an intermediary may be shown to many buyers. Reaching owners directly lets you talk to businesses that fit your thesis before they're on the market, and to show capital partners deals they may not have seen elsewhere.

How it works

  1. Define a tight buy box. Industry, states, size range, years in business and anything to leave out. A clear thesis also helps when you talk to capital partners.
  2. Build your list from public sources, such as government business records and companies' own websites, and check every email address.
  3. Email owners as yourself. Say who you are, that you're looking to buy a business like theirs and why theirs stood out. Leave price and terms for later. See our guide on how to approach a business owner about selling.
  4. Send steadily from separate inboxes, warmed up first, with your name, mailing address and an opt-out in every email.
  5. Screen interested owners with a few short questions, then get them on your calendar.
  6. Keep a clean pipeline. Track owners contacted, replies, interested owners and calls, so you can show progress to capital partners.

What to expect

Nobody can promise a number of replies or deals. It depends on your buy box and market. Track your own numbers and adjust your buy box and emails as you learn.

Where Klontak fits

Klontak runs the outreach for one buy box. We build your list, write emails in your voice that you approve, send them in your name from inboxes set up just for you and sort the replies. Interested owners get your calendar link, and from there, the conversation is yours.

It's $750 a month, flat. There's no commission, no percentage of your deal and no success fee, whether you buy a $500K business or a $5M one. Klontak never negotiates or advises on price or terms.
